TERMS OF SERVICE

1. Introduction

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and Luminar MC, LLC ("Luminar," "we," "us," or "our"), governing your access to and use of the services available at luminarmc.ai and associated platforms (the "Service").

By using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

2. About the Service

Luminar MC provides autonomous agentic AI systems that process multimodal inputs (audio, video, images, text) in sovereign, private, containerized environments for task orchestration, reasoning, and enterprise-grade interactions.

Your data and inputs are never transmitted to public third-party generative AI providers or used to train external models.

3. Eligibility

• You must be at least 18 years old to use the Service.
• By using the Service, you represent that you are legally able to enter into binding agreements.

4. Account Registration & Security

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify Luminar immediately of any unauthorized use of your account.

5. Subscription, Payments & Refunds

• Some features require a paid subscription.
• By subscribing, you authorize Luminar to charge your payment method for fees plus applicable taxes.
• Subscriptions renew automatically unless canceled prior to renewal.
• Refund Policy: All fees are non-refundable except where required by law. Free trials may be offered; once billing begins, fees are final.

6. Service Availability

• We strive for continuous access but do not guarantee 100% uptime.
• We may suspend or limit access for maintenance, security, or force majeure events.

7. Acceptable Use

You agree not to:

• Violate any law, regulation, or third-party rights.
• Send spam or unauthorized communications.
• Misrepresent identity or impersonate others.
• Upload or share unlawful, harmful, or offensive content.
• Reverse-engineer, extract model weights, disrupt, or damage the Service.

8. User Content

• You retain ownership of content you provide.
• You grant Luminar a limited license to store, process, and use it solely to provide and improve the Service in private environments.
• We may remove violating content.

9. Third-Party Services

The Service may integrate with trusted third-party providers (e.g., hosting, infrastructure). Your use of them is subject to their terms. Luminar is not responsible for their availability or conduct.

10. Termination

• You may terminate your account anytime.
• Luminar may suspend or terminate access for violations or harmful activity.
• Surviving provisions (IP, indemnification, liability limits) remain in effect.

11. Intellectual Property

• Luminar retains all rights to the Service, models, software, and branding.
• You may not use our trademarks or IP without written permission.
• Feedback may be used by Luminar without obligation.

12. Indemnification

You agree to indemnify and hold harmless Luminar, its officers, employees, and affiliates from claims, damages, or expenses arising from your use, violation of Terms, or infringement of third-party rights.

13. Disclaimers & Warranties

• The Service is provided "as is" without warranties.
• We do not guarantee accuracy, reliability, or uninterrupted availability. AI outputs may contain errors.

14. Limitation of Liability

• To the maximum extent permitted by law, Luminar is not liable for indirect, incidental, or consequential damages.
• Liability Cap: Greater of $100 or total fees paid in the 12 months preceding the claim.

15. Governing Law & Dispute Resolution

• Governed by laws of Wyoming, USA (no conflict-of-law principles).
• Exclusive jurisdiction: courts of Laramie County, Wyoming.
• Arbitration: At Luminar's discretion, disputes may go to binding AAA arbitration. Opt out by written notice within 30 days of account creation.

16. Export Control & Compliance

You agree not to use the Service in violation of U.S. export laws or provide access to prohibited entities/jurisdictions.

17. Force Majeure

Luminar is not liable for delays or failures due to events beyond our control.

18. Privacy Policy

Your use is also governed by our Privacy Policy at luminarmc.ai.

19. Changes to Terms

We may update these Terms. Continued use constitutes acceptance. Significant changes notified via email or site notice.
